Welcome to CareerPanels (the "Site", "we", "us", or "our"). By accessing or using our website located at https://careerpanels.com and any associated services (collectively, the "Services"), you ("you", "your", or "User") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must immediately cease using the Site and Services.

Account Creation: To access certain features (such as posting jobs or placing bids), you must register for an account. You agree to provide accurate, current, and complete information. You are solely responsible for safeguarding your account credentials.

Account Termination: We reserve the absolute, unilateral right to suspend, restrict, or terminate any account or access to the Site at any time, for any reason or no reason, without prior notice or liability to you.

3. Terms for Employers (Paid Job Postings)

Fees and Payments: Employers agree to pay all specified fees for posting jobs. All fees are quoted in USD and are non-refundable, regardless of whether the job posting results in successful hires, receives no applicants, or is removed for a violation of these Terms.

Content Discretion: We do not pre-screen all listings, but we reserve the absolute right (but assume no obligation) to reject, modify, or remove any job posting that we deem inappropriate, fraudulent, or non-compliant with our professional standards, without refund.

No Guarantees: CareerPanels does not guarantee any specific volume or quality of applicants, views, or clicks for your postings.

4. Terms for External Job Boards (The Bidding System)

The Bidding Process: Registered external job boards may participate in our bidding system to purchase premium, high-visibility placement on the Site. Bids are binding offers to pay the specified amount for the designated placement slot or period.

Payment and Finality: All successful bids must be paid in full according to our payment terms. All bid payments are strictly final and non-refundable.

Algorithm and Layout Changes: CareerPanels retains absolute control over the design, layout, and functionality of the Site. We reserve the right to modify the bidding mechanism, ranking algorithms, visual presentation, and site structure at any time without notice. Such changes will not entitle you to any refunds or compensation.

Directory Content: We reserve the right to remove any external job board link from our directory if the linked site becomes inactive, contains malicious software, engages in illegal activity, or violates our quality guidelines. No refunds will be given under these circumstances.

5. Terms for Candidates (Job Seekers)

Third-Party Content: CareerPanels displays job advertisements and links provided by third parties. We do not vet, endorse, or verify the legitimacy, safety, or accuracy of these external jobs or third-party job boards.

User Risk: Candidates acknowledge that applying for jobs or navigating to external sites found via our directory is done entirely at their own risk. You are solely responsible for performing due diligence before sharing personal information with any employer or third-party site.

6. Intellectual Property and Acceptable Use

Ownership: All materials on the Site (excluding user-submitted job descriptions and external logos), including text, graphics, branding, software, and code, are the exclusive property of CareerPanels.

Prohibited Scraping and Automation: You are strictly prohibited from using automated tools, spiders, bots, scrapers, or crawl software to harvest, extract, or copy data from the Site for any purpose (including aggregating our job listings or directory lists on a competing site) without our express written consent.

7. Disclaimers and Limitation of Liability

"As-Is" Provision: The Site and Services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the uptime, accuracy, security, or reliability of the platform.

Limitation of Liability: To the maximum extent permitted by applicable law, CareerPanels, its founders, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages. This includes, without limitation, loss of profits, loss of data, loss of business opportunities, or damages resulting from fraudulent job postings or external sites.

Maximum Liability Cap: In no event shall our total aggregate liability to you for any claims arising out of these Terms exceed the total amount actually paid by you to CareerPanels in the three (3) months preceding the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless CareerPanels and its operators from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the platform, violation of these Terms, or any content you submit to the platform.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Brampton, Ontario.

10. Modifications to Terms

We reserve the right to update or change these Terms at any time by posting the revised version on the Site with an updated "Last Updated" date. Your continued use of the platform after changes are posted constitutes your binding acceptance of the updated Terms.
