Welcome to CareerPanels (the "Site", "we", "us", or "our"). By accessing or using our website located at https://careerpanels.com and any associated services (collectively, the "Services"), you ("you", "your", or "User") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must immediately cease using the Site and Services.

1. Description of Services

CareerPanels operates independent career-resource directories and a promoted placement platform consisting of:

• A Job Board Directory: Organizing and linking to third-party job boards, recruiting agencies, staffing firms, freelance platforms, and other employment websites.
• Career Resource Directories: Organizing job communities, application tools, training and coaching resources, professional publications, newsletters, and blogs.
• A Promoted Placement Platform: Allowing eligible listing operators to reserve clearly disclosed visibility within an applicable directory section.

2. General Eligibility and Accounts

Account Creation: To access certain features, such as purchasing a promoted directory position, you must register for an account. You agree to provide accurate, current, and complete information. You are solely responsible for safeguarding your account credentials.

Account Termination: We reserve the absolute, unilateral right to suspend, restrict, or terminate any account or access to the Site at any time, for any reason or no reason, without prior notice or liability to you.

3. Legacy Employer Listings

CareerPanels no longer offers new paid job postings. Any obligations connected to a previous purchase remain governed by the terms that applied when the purchase was made. Customers with questions about a previous listing should use our contact page.

4. Terms for Promoted Directory Listings

Authorization: You may purchase a promoted placement only when you own, operate, or are authorized to represent the selected organization, website, community, tool, service, publication, or directory listing. We may request reasonable evidence of authorization and may suspend a placement while it is reviewed.

First-Come Positions: Each eligible directory section has a limited number of promoted positions. Available positions are assigned in numerical order when checkout begins. A position remains reserved while its subscription remains active or is in a temporary payment-recovery state. Later customers cannot displace an occupied position by paying more.

Price and Renewal: The current price is $50 USD per promoted position per month. Stripe automatically renews the subscription on the billing-cycle date established when the purchase is completed. This is a monthly anniversary schedule, not the first day of each calendar month. We may change the price for a future billing period after providing any notice required by applicable law. You may cancel before a new price takes effect.

Cancellation: You can cancel an active promotion from the partner dashboard. Cancellation ends the placement immediately and stops future renewals. Amounts already paid are final and non-refundable except where applicable law requires otherwise.

Payment Failure: A failed renewal may remove the Promoted label and visibility until payment is restored. We may release a position after the subscription is canceled or permanently terminated for nonpayment.

Layout Changes: CareerPanels retains control over the design, layout, and functionality of the Site. We may change visual presentation and site structure, but an active fixed position will not be displaced by a later purchaser while the subscription remains active.

Directory Content: We reserve the right to remove any external listing if the linked resource becomes inactive, contains malicious software, engages in illegal activity, misrepresents its services, or violates our quality guidelines. No refunds will be given under these circumstances.

5. Terms for Candidates (Job Seekers)

Third-Party Content: CareerPanels displays information about and links to third-party employment websites. We do not endorse or guarantee the legitimacy, safety, availability, or accuracy of third-party job boards or their listings.

User Risk: Candidates acknowledge that applying for jobs or navigating to external sites found via our directory is done entirely at their own risk. You are solely responsible for performing due diligence before sharing personal information with any employer or third-party site.

6. Intellectual Property and Acceptable Use

Ownership: All materials on the Site, excluding third-party names, trademarks, and logos, including original text, graphics, branding, software, and code, are the property of CareerPanels.

Prohibited Scraping and Automation: You are strictly prohibited from using automated tools, spiders, bots, scrapers, or crawl software to harvest, extract, or copy data from the Site for any purpose, including reproducing our directory on a competing site, without our express written consent.

7. Disclaimers and Limitation of Liability

"As-Is" Provision: The Site and Services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the uptime, accuracy, security, or reliability of the platform.

Limitation of Liability: To the maximum extent permitted by applicable law, CareerPanels, its founders, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages. This includes, without limitation, loss of profits, loss of data, loss of business opportunities, or damages resulting from third-party employment websites.

Maximum Liability Cap: In no event shall our total aggregate liability to you for any claims arising out of these Terms exceed the total amount actually paid by you to CareerPanels in the three (3) months preceding the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless CareerPanels and its operators from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the platform, violation of these Terms, or any content you submit to the platform.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Brampton, Ontario.

10. Modifications to Terms

We reserve the right to update or change these Terms at any time by posting the revised version on the Site with an updated "Last Updated" date. Your continued use of the platform after changes are posted constitutes your binding acceptance of the updated Terms.
